1. ACCEPTANCE OF TERMS
By accessing the website haoyuclothing.com (the "Site") or placing an order with Haoyu Clothing Co., Ltd. ("the Company", "we", "us"), you ("the Client", "the Buyer") agree to be bound by the following terms and conditions. These terms supersede any prior agreements or purchase order terms unless explicitly signed by both parties.
2. BUSINESS SCOPE & SERVICE
With over 15 years of manufacturing expertise, we specialize in:
OEM/ODM Manufacturing: Custom production based on client designs.
Product Categories: Men’s and women’s underwear, seamless wear, yoga wear, and functional garments.
Compliance: Our facilities are strictly compliant with BSCI and OEKO-TEX Standard 100, ensuring ethical labor practices and fabric safety.
3. ORDERING & CUSTOMIZATION PROCESS
3.1 Quotations: All prices are quoted in USD (unless otherwise specified) and are valid for 30 days. We reserve the right to adjust pricing due to significant fluctuations in raw material costs (e.g., spandex/cotton price surges) or exchange rates exceeding 2%.
3.2 Sampling:
Development samples are provided at a cost, which may be refunded upon a bulk order meeting our Minimum Order Quantity (MOQ).
Courier fees for samples are the responsibility of the Buyer.
3.3 MOQ: Minimum Order Quantities vary by fabric, dyeing requirements, and style. Small-batch trials are subject to a "small order surcharge."
4. PAYMENT TERMS & FINANCIAL SECURITY
To maintain a stable supply chain and competitive pricing, we adhere to a strict payment policy:
4.1 Standard Terms: A 30% deposit is required to initiate production. The remaining 70% balance must be paid upon presentation of the Bill of Lading (B/L) or before shipment, as agreed in the Proforma Invoice (PI).
4.2 Payment Methods: Payments must be made via T/T (Telegraphic Transfer) to our designated corporate bank account.
4.3 No Credit Policy: We do not accept Open Account (OA), D/A, or long-term credit payments. This ensures the liquidity required for high-quality material procurement.
5. PRODUCTION & LEAD TIMES
5.1 Timeline: Production lead times (typically 30–60 days) start only after:
The 30% deposit is confirmed.
The Pre-Production Sample (PPS) is approved in writing.
5.2 Delays: While we strive for punctuality, we are not liable for delays caused by the Buyer’s late approval of samples or late payment of the balance.
6. SHIPPING & RISK OF LOSS
6.1 Trade Terms: We primarily operate under FOB (Ningbo/Shanghai), CIF, or EXW (Incoterms 2020).
6.2 Risk Transfer: Risk of loss or damage passes to the Buyer once the goods are delivered to the carrier at the port of loading.
6.3 Insurance: For CIF orders, we provide basic maritime insurance. For FOB orders, the Buyer is responsible for their own insurance.
7. QUALITY CONTROL & CLAIMS
7.1 Inspection: We perform internal AQL 2.5/4.0 inspections. Clients have the right to appoint third-party inspectors (e.g., SGS, ITS, V-Trust) to our Yiwu factory before the balance payment.
7.2 Tolerance: A +/- 3% quantity tolerance and minor color shade variations (within grey scale level 4) are considered industry-standard and acceptable.
7.3 Claim Period: Any claims regarding quantity or visible defects must be filed within 15 days of goods arrival at the destination port. Quality claims must include clear photographic/video evidence and a detailed inspection report.
8. INTELLECTUAL PROPERTY PROTECTION
8.1 Client Designs: We respect your intellectual property. We will not sell your custom-designed products to other customers without your written consent.
8.2 Factory IP: All technical patterns, seamless programming codes, and website content created by Haoyu Clothing remain our property.
9. FORCE MAJEURE
Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to: natural disasters, power outages, strikes, government-mandated factory shutdowns, or global shipping crises.
10. GOVERNING LAW & DISPUTE RESOLUTION
These terms are governed by the laws of the People's Republic of China. Any dispute that cannot be settled through friendly negotiation shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) or the local courts in Yiwu, Zhejiang Province.
